    1. Acceptance of Terms

    By accessing and using the Mercazul platform ("the Platform"), you agree to comply with these Terms of Service. If you do not agree with any part of these terms, you should not use the Platform.

    2. Description of Service

    Mercazul is an online B2B marketplace connecting sellers from the Colón Free Zone, Panama, with buyers from Central America and the Caribbean. The Platform facilitates product listings, requests for quotation (RFQ), messaging, order management, and protected payment services.

    3. Registration and Accounts

    Users must register by providing truthful and current information. Each user is responsible for maintaining the confidentiality of their access credentials. Accounts are non-transferable and the user is responsible for all activity conducted under their account.

    4. User Roles

    The Platform distinguishes between buyers and sellers. Each role has specific permissions and responsibilities. Sellers must be legally registered and operate from the Colón Free Zone or other authorized jurisdictions.

    5. Transactions and Payments

    Transactions conducted through the Platform are subject to the conditions agreed upon between buyer and seller. Mercazul offers escrow payment services to protect both parties. Funds are released to the seller once the buyer confirms satisfactory receipt.

    6. Credit Scoring

    Credit scores and signals provided by the Platform are informational only. They do not constitute guarantees of payment, creditworthiness, or solvency, nor do they represent legal or financial advice.

    7. Intellectual Property

    All Platform content, including logos, design, text, and software, is the property of Mercazul or its licensors. Users retain rights to content they publish but grant Mercazul a license to display it on the Platform.

    8. Prohibited Conduct

    The following is prohibited: publishing false or misleading information, using the Platform for illegal activities, interfering with Platform operations, creating multiple fraudulent accounts, or violating third-party rights.

    9. Limitation of Liability

    Mercazul acts as an intermediary and is not a party to transactions between buyers and sellers. The Platform does not guarantee the quality, safety, or legality of listed products, nor the ability of users to complete transactions.

    10. Modifications and Governing Law

    Mercazul reserves the right to modify these terms at any time. Changes will be effective upon publication on the Platform. These terms are governed by the laws of the Republic of Panama.

    11. Payment Terms and Financing

    Mercazul facilitates the connection between Buyers and Sellers and the negotiation of payment terms, but is not a lender, financial intermediary, guarantor, or party to any credit extended between users. Any credit payment terms are granted by the Seller at its sole responsibility and risk; Mercazul does not finance, advance funds, or guarantee repayment. Mercazul shall not be liable for any loss, damage, or claim arising from credit extended between users.
